Terms & conditions.

These terms apply to every project you order from timka.studio and to your use of the timka.studio client portal. “We”, “us” and “timka.” mean Windy Ruby LLC, which provides the services of timka.Studio (part of timka.Group), based in the Chicago area, Illinois, USA. “You” means the person or business ordering the work.

1. Agreeing to these terms

By creating a client account, sending a brief, accepting a quote or paying an invoice, you agree to these terms and to our privacy policy. If you order for a business, you confirm you are allowed to act for it. A signed agreement or a quote that says otherwise takes priority over these terms for that project.

2. Your account and the client portal

• You sign in with a one-time code sent to your email. Keep access to that mailbox secure; anything done after signing in with your code counts as done by you.
• Please keep your profile (name, company, phone, billing address) complete and correct — we use it on quotes and invoices.
• Use the portal only for your own projects. Do not upload anything unlawful, harmful, or that you do not have the right to share.

3. Briefs, estimates and quotes

• Prices on the website and in the brief are estimates. Your project is priced in a written quote after we review your brief. Some services (complex packaging, digital products, custom projects) are quoted only.
• A quote is valid for 30 days unless it says otherwise. It lists the price, what is included, the number of design options and revisions, and the expected delivery time.
• Work that is not in the quote — new deliverables, extra formats, more SKUs, extra revisions — is quoted and charged separately before we do it.

4. Payment

• Projects start after a 50% deposit. The balance is due when the work is delivered; final, editable and print files are released once the invoice is paid in full.
• Monthly plans (for example digital marketing) are billed monthly in advance. You can cancel a monthly plan with 30 days’ written notice through the portal.
• You can pay by card (when available), by bank transfer (ACH, wire, Zelle) or by another method we agree on. Card payments are processed by our payment provider; we never see or store your full card number.
• Invoices are due by the date shown on them. We may pause work on overdue accounts until they are paid.

5. Revisions and delivery

• Each package includes a set number of revisions. A revision is one round of changes to the agreed direction; a new concept or direction is new work.
• When the included revisions are used, further revisions are offered at the price shown in the portal and start after you approve and pay for them.
• Delivery times are estimates that start after the deposit and a complete brief. Revision rounds and time spent waiting for your feedback, approvals, content or payments do not count toward delivery time. Delivery depends on how complex the project is.
• Approving a design in the portal confirms the design. Accepting the final delivery confirms the project is complete.

6. Your materials

You confirm that the logos, photos, texts, product data and other materials you give us are yours or licensed to you, and that you are responsible for the accuracy of product information, nutrition facts, legal claims and regulatory wording on your packaging and labels. We are happy to check them, but the final responsibility for compliance stays with you.

7. Ownership and licences

• When the project is paid in full, you own the final approved deliverables made for you. Until then, they remain ours.
• Concepts and drafts you did not choose stay ours.
• Fonts, stock photos, music, plug-ins and other third-party items are licensed, not sold; some need their own licence in your name. We tell you when that applies.
• We may show finished work in our portfolio and on social media unless you ask us not to in writing (for example under an NDA). We never show confidential information.
• Websites and systems built on timka OS (the platform owned by timka.Group) are provided as a service: you own your content and data; the platform code stays with timka.Group.

8. Files and storage — please keep your own copy

Files in the client portal and share links are kept temporarily, for up to 30 days. Share links stop working after 30 days. Please download your files and save them on your side. We may review these terms, and we are not responsible for files after that period.

9. Cancellation and refunds

• You can cancel a project at any time through the portal or the contact form. You pay for the work done up to that point; the deposit is not refundable once work has started.
• If we cannot complete a project for reasons on our side, we refund the part of what you paid that covers undelivered work.

10. Confidentiality

We keep your non-public business information confidential and use it only for your projects. We can sign your NDA on request.

11. Liability

We do careful, professional work, but services are provided “as is” beyond what the quote promises. To the extent the law allows, we are not liable for indirect or consequential losses (such as lost profits, print runs or product recalls based on approved files), and our total liability for a project is limited to the amount you paid for that project. Please check proofs carefully before printing or publishing.

12. Third-party services

Some work depends on outside services — hosting, domains, social platforms, printers, payment providers. Their own terms apply, and we are not responsible for their outages or policy changes, though we help you deal with them.

13. Ending the relationship

Either side may end a project or plan in writing. We may close accounts that break these terms. Sections on payment, ownership, confidentiality and liability continue to apply.

14. Governing law

These terms are governed by the laws of the State of Illinois, USA. We will always try to resolve a disagreement by talking first.

15. Changes

We may update these terms. The date at the top shows the latest version. When the changes matter for you, the portal asks you to read and accept the new version before you continue.
